Terms of Service

Please read these Terms carefully. By creating a PropertyPal account, or by accessing PropertyPal in any way, you agree to be bound by these Terms. If you do not agree, do not use PropertyPal.

1. Acceptance of terms

These Terms of Service ("Terms") are a binding agreement between you and Flex Analytics Uganda ("we", "us", "our"), the operator of PropertyPal ("Platform"). By accessing or using the Platform — including registering, adding properties, inviting team members, or paying a subscription — you confirm that you accept these Terms and our Privacy Policy.

2. About PropertyPal

PropertyPal is a property operations platform operated by Flex Analytics Uganda (Company Registration No. [REG NO.]), incorporated in Uganda with its principal office in Kampala. PropertyPal helps landlords, owners, property managers, and agents manage properties, units, leases, tenants, maintenance, and finances.

Landlords who use PropertyPal may optionally publish some of their properties to NyumbaHub, our separate tenant-facing marketplace, subject to Sections 4 and 5 below.

3. Accounts & roles

3.1 Eligibility

You must be at least 18 years old and legally able to enter a binding agreement under Ugandan law to create a PropertyPal account.

3.2 Account types

  • Individual owner: a landlord registering in their own name.
  • Company owner: a business entity registering as a property owner.
  • Manager / agent: a team member invited by an owner, with permissions the owner controls.

Account owners are responsible for the accuracy of data entered by their invited managers and agents, and for granting and revoking access appropriately.

3.3 Account security

You are responsible for keeping your credentials confidential and for activity under your account. Notify us immediately at dataflex.ug@gmail.com if you suspect unauthorised access.

4. Property verification

Before a property can be published on NyumbaHub, it must pass our verification process. This is separate from account creation — you can use PropertyPal's management tools for a property right away; verification only gates whether that property can be listed publicly on NyumbaHub.

Verification typically takes between 2 business days and 1 week from the time you submit complete property details and supporting documents. Incomplete or unclear submissions may take longer while we request additional information. We do not guarantee a specific turnaround time, and we may decline to verify a property that does not meet our listing standards or that we cannot confirm ownership/management rights for.

5. Listing on NyumbaHub

5.1 Your control over your listings

Once a property is verified, you may choose to add it to, or remove it from, NyumbaHub at any time through your PropertyPal dashboard.

5.2 Our right to remove a listing

While you control publishing your own listings, we reserve the right to remove any listing from NyumbaHub at our discretion — for example where a listing violates these Terms, contains inaccurate or misleading information, is subject to a legal or ownership dispute, or where we determine removal is necessary to protect users or the integrity of the Platform. We will make reasonable efforts to notify you when we do so.

5.3 What you publish is your choice

When you publish a listing, you choose what name and contact details appear on it. Any contact information you place on a NyumbaHub listing will be visible to prospective tenants viewing that listing. See our Privacy Policy for how we otherwise protect your information.

6. Billing & subscriptions

6.1 How billing works

PropertyPal's paid tier is billed per unit, per month, at our published rate (subject to any custom pricing agreed for specific units). Your bill is calculated from the number of units you currently have across your properties.

6.2 Subscription starts when you add units

Your subscription begins as soon as you add units to a property. Adding your first unit(s) starts your billing obligation for that account; a first payment is required to activate full, ongoing access. You can browse and set up your account beforehand, but billing is driven by unit count from the point units exist on your account.

6.3 Billing scenarios

ScenarioWhat happens
New subscription Your first bill is calculated from your unit count and chosen billing cycle. Access to paid features activates once this first payment is confirmed.
Choosing a billing cycle Monthly, quarterly (3 months), semi-annual (6 months), or annual (12 months' coverage charged at 10 months' rate).
Adding units mid-cycle New units are billed as a prorated add-on charge covering the remainder of your current billing cycle, then folded into your next renewal.
Removing units Your unit count for future billing periods drops accordingly; fees already paid for the current period are not refunded (see Section 7).
Renewal We notify you ahead of your renewal date. Your subscription renews at your current unit count and chosen cycle unless you change it beforehand.
Missed or late payment We send reminders as your renewal date approaches. If payment is not made, access to paid features may be restricted until the account is brought current.

7. No refunds

All subscription fees are non-refundable, including for partial billing periods, unused units, early cancellation, or account suspension, except where a refund is required by applicable Ugandan law. If you believe you were incorrectly charged, contact us at dataflex.ug@gmail.com within 14 days of the charge and we will investigate.

8. Rent is not collected by us

PropertyPal does not collect, process, or hold rent payments from tenants. Rent is paid directly between tenant and landlord, outside of the Platform. PropertyPal's finance tools let you record and track income and expenses for your own reporting purposes, but Flex Analytics Uganda is not a party to, and bears no liability for, any rent payment or arrangement between you and your tenants.

9. Acceptable use

You agree not to:

  • Post false, misleading, or fraudulent property or listing information;
  • Misuse tenant, applicant, or other users' personal data;
  • Attempt unauthorised access to any account, system, or data on the Platform;
  • Scrape, crawl, or extract data from the Platform by automated means without our written consent;
  • Use the Platform for any unlawful purpose under Ugandan law;
  • Interfere with the security or normal operation of the Platform.

We may investigate suspected violations and suspend or terminate accounts that breach these rules.

10. Privacy

Your use of PropertyPal is also governed by our Privacy Policy, incorporated into these Terms by reference. We do not sell your data, and we do not share landlord information beyond what is described there — including that we never share it for advertising or with data brokers.

11. Intellectual property

The PropertyPal platform, branding, software, and related materials are owned by Flex Analytics Uganda or our licensors and protected by applicable law. These Terms do not transfer any intellectual property to you. You retain ownership of the data and content you submit, and grant us a limited licence to host, process, and display it as needed to operate the Platform for you.

12. Limitation of liability

To the fullest extent permitted by Ugandan law, Flex Analytics Uganda is not liable for indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data, arising from your use of the Platform. Our aggregate liability for any claim relating to the Platform is limited to the subscription fees you paid in the 12 months before the event giving rise to the claim, unless local law requires otherwise. Nothing here limits liability for fraud or gross negligence.

13. Suspension & termination

We may suspend or terminate your account for breach of these Terms, non-payment, fraud, or security risk. You may close your account at any time. Sections 6–8 (billing, refunds, and rent), 11 (intellectual property), 12 (limitation of liability), and 14 (disputes) survive termination.

14. Disputes & governing law

If you have a dispute with us, contact us first at dataflex.ug@gmail.com so we can try to resolve it informally. Unresolved disputes fall under the exclusive jurisdiction of the High Court of Uganda at Kampala, and these Terms are governed by the laws of the Republic of Uganda.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be notified by email and/or a prominent notice on the Platform at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
